2023 Proposed Amendments to the TXSRT Bylaws
The Board of Directors of TXSRT voted to approve the following amendments to the TXSRT By-laws on February 15, 2023.
These amendments will be voted on at the 92nd Annual Meeting on Friday, April 21, 2023, at the business meeting at 11:30 am.
All active members (technologists and students) and life members present at the business meeting will be eligible to vote.
AMENDMENT ONE:
ARTICLE VII: SUBORDINATE SOCIETIES
SECTION 1: AFFILIATE SUBORDINATES
Renumber paragraphs F and G as G and H, respectively
Add new paragraph F:
- An affiliate subordinate which has not satisfactorily submitted to the TXSRT any documentation required by the TXSRT and/or the ASRT by the date specified by the TXSRT and/or the ASRT shall be placed on probation.
- The probation shall be automatic, not requiring a vote by the Board of Directors of the TXSRT, and shall begin on the next calendar day following the missed deadline.
- During this probation period, the affiliate subordinate shall not enjoy any of the privileges associated with the TXSRT and the ASRT.
- If the required documentation is not provided within 60 days of the beginning of the probation, a mandatory motion for termination of the affiliate subordinate shall be brought before the Board of Directors of the TXSRT either at the next scheduled meeting or a special meeting called by the President of the TXSRT. The Board may, by majority vote, either continue the probation or terminate the subordinate affiliate.
- The probation shall automatically expire upon certification by the President of the TXSRT that the affiliate subordinate has satisfactorily submitted all required documentation, at which time the affiliate subordinate shall be returned to good standing with the TXSRT.
Rationale: The current By-Laws have no mechanism for disciplinary action against an affiliate subordinate other than terminating the affiliate subordinate. This amendment will give the Board of Directors of the TXSRT the flexibility of placing the affiliate subordinate organization on probation before terminating the affiliate subordinate.
AMENDMENT TWO:
ARTICLE V: MEMBERSHIP AND MEMBERSHIP FEES
SECTION 2: MEMBERSHIP RESIGNATION
Delete the numbering of Paragraph A.
Delete Paragraph B
SECTION 4: REINSTATEMENT
Delete the numbering of Paragraph A and all wording and substitute the following wording:
A member who has resigned or whose membership has been revoked by the TXSRT for other reasons may be reinstated only after filing a new application, acceptance of the application by the Board of Directors, and paying the fees as a new member.
Rationale: This brings TXSRT By-Laws in conformance with the By-Laws of the ASRT.
